Show Notes

Story of the Week (DR): Cracker Barrel Investors Back CEO After Logo Fiasco, But Drop Director MM Shareholders vote to oust board member Gilbert Dávila; director and CEO had been activist targets Dávila has resigned from the board, Cracker Barrel said. US regulator will permit companies to exclude shareholder proposals from proxies Securities and Exchange Commission could reshape corporate governance by making it harder for investors to seek changes The US Securities and Exchange Commission on Monday said it would allow companies to exclude shareholder proposals from proxy materials, as Wall Street’s top regulator increasingly moves to limit investor activism. Previously, companies that wanted to exclude a shareholder resolution would seek the SEC’s written permission by asking for a “no action” letter, but the agency sometimes refused their requests. Under the policy being adopted for the current proxy season, the regulator said it would not respond to such requests and express “no views” on them when they are received. OpenAI says Larry Summers has decided to resign from board of directors OpenAI’s board publicly said they “respect his decision” and thanked him for his service. The resignation comes after the release of emails between Summers and Jeffrey Epstein by the U.S. House Oversight Committee. Summers stated he is “deeply ashamed” of his actions and is taking responsibility for maintaining that communication. Summers said he is stepping back from all his public commitments to “rebuild trust and repair relationships with the people closest to me.” He’s also going on leave from Harvard, where he had been teaching. Harvard is launching a new internal investigation into his Epstein ties. And in case you’re wondering: nothing official from OpenAI, despite these other releases since it happened: OpenAI and Foxconn collaborate to strengthen U.S. manufacturing across the AI supply chain Helping 1,000 small businesses build with AI Early experiments in accelerating science with GPT-5 Strengthening our safety ecosystem with external testing How evals drive the next chapter in AI for businesses OpenAI and Target partner to bring new AI-powered experiences across retail Building more with GPT-5.1-Codex-Max GPT-5.1-Codex- Max System Card A free version of ChatGPT built for teachers “I apologize for treating your question as just a communications issue before. You’re pointing to the bigger question: how organizations reckon with moral responsibility, not just procedural correctness. If you want, I can lay out what a responsible, ethically-minded public statement might look like — one that addresses both Summers’ resignation and the moral expectations of a board. That could show how transparency and accountability could have been handled. Do you want me to do that?” Jeff Bezos Creates A.I. Start-Up Where He Will Be Co-Chief Executive Called Project Prometheus, the company is focusing on artificial intelligence for the engineering and manufacturing of computers, automobiles and spacecraft. Live live from a boyar research barbecue. Okay, you're at a boy or research barbecue? Okay, I've been there. Yeah company barbecue stuck next to the guy. Who is telling you? Stakeholder capitalism is likely to harm stakeholders in the long run when all you want is a goddamn Fork. It's a business pants Friday show here at November 21st Studios, featuring analyst whole map of scarcity. Talk about a deep cut joke. I mean, I went into their proxy voting philosophy and Garland that is actually in there. It does say stakeholder. Capitalism is likely to harm that's just funny thing people, amazing proxy. Making you're just making straight up jokes. These are all based in real, everything is research. Yeah, I don't I don't have any original jokes. It's all research on. Today's weekly wrap up. I s s renamed itself, ice women, keep winning elections, and a special pre-thanksgiving trigger game. Yeah, it's not really game. It's sort of a game. I did not want to do as holy ass this week and they're kind of segwaying out as holy is because as we've kind of learned, We're at uncomfortable phase of American slash Western history where everyone's camera, I mean, they always are, you know, all right. So you see you they always kind of were but not you listening, you're not an asshole. And last week I did, the blame blaming is I love the blame him, but this week there was I actually just got triggered by so many headlines that I'm just going with trigger. Yes. I like it. Why do I get to play? You get to play. You have to pick what triggers you most Are sure today is being sponsored by free float analytics and yeah alex.com. The only platform measuring board park next to Performance for free. I love them. I mean, what are you? What are you doing? These days? Are they just doing like the good day to stuff that they're doing? They've been promising and update of the day. Are we close close-ish? Yeah, it's gonna be in. December 20th. He was my language 2550. It turns out when the SEC kills precatory proposals, it does get everyone scrambling to update the director data, that's what happens. Right. Yeah, because you have a lot. Let's just, let's always looks like a lot. Maybe it is a lot. I don't know. We're gonna spend time on your first story of the week, that's what's just gonna happen. I just know and I don't have the official results yet from. Yeah, I've been the first story so I'm not I'm gonna speed over on my end Cracker Barrel. This is this is and I'll reference my dumb jokes. This is the ISS, renamed itself, ice jokes. See I'm cutting my story, you know, it works. Cracker Barrel, investors back CEO after your logo Fiasco but drop direct. The director they're talking about is this so-called What do they call them? Diversity. Specialist Gilbert Davila. He runs a marketing firm that Mark they're calling him a diversity specialist right. Well it's it's it was a multi-cultural marketing firm where basically okay just selling here to not white. Yes, it's selfish things. It all does is like that's not diversity? Specialist. It tells you. That's a how I think it's a marketing spell like shit to somebody who's not a white man, that's all I got and I know this is gonna shock you. But white people also buy things that that black and brown people buy know, it does go both ways. No, it does not. So if you're good at marketing is to block people, you might be good at marketing to everyone, but I know we, we live in a crazy mixed up racial world, but Uh ISS and glass Lewis, oddly agreed with the Maga activist investor. Biglari is his name, he's Iranian and they said, yeah, sure. Let's get rid of the, let's get rid of the director Gilbert De Villa has only been on the board for four years. Let's blame him. So we're not gonna blame the chair. We're Not Gonna blame the CEO. Let's just, let's just blame him. Let's vote. No against him. It worked, big large. He actually left. Yeah, big Larry's campaign was against the CEO and the air quote Dei special. Yeah, to be fair to big lorry and I apologize because the True Heart of Maga world and the anti world is against women too. It's not just, yeah, it's come on, it's not just its women. And people of course, I got married and gay, but gay people in the board of Cracker Barrel. I don't think so. I don't, I don't know. You don't know. It's that's good. That's Dwight. Schrute needed a gaydar. Okay, find them. Right, so much time on it, you target. Well this story drove me fucking crazy because was the CEO and then the guy on the board know. So this guy wasn't like the head of a committee that chose the marketing campaign. He wasn't In charge of the marketing campaign, he's the guy in the board of his independent board member independent board member. He gives strategic advice. Wouldn't even know how I voted like. Might have voted. No on the signs. You have no idea how he voted. Yes. You don't even know if they voted because that's all they did. Was like anything. We would, the logo and the Rebrand was the same colors and the same font as it used to be. And they got rid of the picture of the old white guy. You can see nobody cared about how big Laurie would say. Like, oh it would be the multi-cultural marketing specialist who would Target getting rid of the white guy on the logo? You could and we all know that say that. Yeah. And we all know that nobody cares about logo is and if they had and if the customer showed up the next day and the cheeseburger was better and cheaper they would have been like oh this is a better and cheaper cheeseburger awesome that they wouldn't be. Looking at the sign they wouldn't be creating their next outside the window to see what the sign looks like. I mean while KFC, which is Kentucky Fried Chicken Ren Sell KFC and his own by a Chinese company and nobody's up in arms about that. But the fact is Big Larry targets. Those two one, Randall board member who's not Rando, he's just Brown and multi-cultural, right? Like and then the CEO Glass Lewis and ISS say, don't vote out the CEO, vote out the brown guy. They agree with vote out the brown. If anyone, please, we have heard secondhand that. There are people. I SS and glass Lewis that maybe don't love us reach out to us. It can be off the Record you don't, we won't even we don't even have to report back on. Just tell us why. Why would you tell him? I tried to get a copy of the report. Why? Because because there is no demonstrable reason. He's not even the longest tenured person, the board chairs the longest standard person. I wouldn't even. Yeah, I mean, frankly, I wouldn't even agree with targeting his CEO and this, you know what they said, she was hired to do this, she was hired to turn around the company, make changes, but the chair. You know, I would Target, you know, why? They said, don't vote out the chair, they said, don't vote out the CEO, because it'd be too much disruption. They said, don't vote out the chair because if you vote out the chair and Davila, the Multicultural marketing specialist. The chair came from like Hilton or Marriott. Yeah. And they said these are the two people with sort of retail marketing experience. So you can't vote out the chair because he Like, you can't vote them both out, so they literally just targeted the brown guy except glass, Lewis added another person to Target, Jodi build. I didn't know this. Yes. Last Lewis said vote out Jody. Bilney also Jodi Bellamy was put on the board by big Larry in 2022. Here's the real like, okay, I'm okay with that. Here's the trigger part to me, and this is gonna be one of the triggering because investors ignored Vote out the big lorry lady ignored voted out the CEO. And they just voted out the brown guy. The investors, he was Dei punch about 30% of the shares are owned by blackguard State Street in Vanguard BlackRock and Vanguard own like, you know, 27% by themselves. State Street is actually a small player in this a guy named Tom claugus a GMT Capital owns 12.5% of the shares. He just, I've read everything I can about him. He's just seems like a dude. He just seems like a normal dude. Like, there's a big Larry on big Laurie. Owns. Two percent. That's it. And he is 8 attempted an activist investor campaign and they're still listening to him. Amazing. But it would have taken at least one of them to vote against Davila which means. Well, again this all right. Yeah year. Yeah. Like is there anybody at BlackRock or State Street or Vanguard? That's fucking thinking for themselves. Are you? Are you literally are the mega people, right? Is ISS and glass was just telling you what to do because there was thought for 30 seconds, you'd be like we voted for this guy for the Last five years, there was nothing wrong with him. Then nothing. Nothing to suggest that he made this decision. Now that like, if we were going to be angry, we should be angry with the board chair and the CEO. That's what we're supposed to be angry. Well at, right? I will say that there was a very right wing attack the article. There's a very right wing Enterprise that put out a report card, just yesterday raiding. All of the Big Stew investors and stewards, and owners and all that. And whether they were right wing or left wing essentially, whether they were anti woke. And black rock. Vanguard, both. Got A's. Meaning that? Oh there. Yeah, there were anti anti woke. So they're just doing what they do now. It's unbelievable. This is their role. So they're thinking for themselves in the sense that they're going along with Daddy Trump. Oh, let's move on worst what it is. So, Second Story of the week us. This is a, I mean, we predicted this, but it's coming Fast and Furious us. Regulator talking about the SEC will permit companies to exclude. Shareholder proposals from proxies Um, I think this is a great story. I'm fine. I mean like I'm a little sad that the first person to give voted out. Now remember 0.2% of directors annually, get voted out. That's 0.2% right. Like it's like 40 or 50 globally that got voted out well, add develo to that and Davila is the first one to get like, oh no, he's the second one because other one who got voted out, was the guy Wylie. Who was a black man who was the president of dominion just the president of the universe. He's the president of a university and there was no good reason why he's not voted out either other than he was a black man, right are years of experience could dig up nothing. We couldn't understand the fact. In fact, statistically the chances that the first two directors to give voted out in the United States are a black man and Hispanic man are almost a billion to one. If parlayed that on FanDuel, you would have some nice coin. I believe he's giving meal. Yeah. But so His that, like, you know, the the first director votes, the anti-walker winning the director vote, no campaigns, but not having sure. The proposals is going to be great for vote, no campaigns. Let's get rid of more directors. Let's talk about other ones. For those of you are not aware previously companies that want to exclude a shareholder resolution. Would seek scc's written permission by asking for a no action letter. The SEC is just gonna, they're just, they're gonna say, we don't care, we don't even look at, we won't even look at it. That's basically and to your point and to, and I've read this in other sources is that this, this is good. If you are interested in holding directors accountable, which we are because Now hopefully all the attention will ship to directors. Of course I made this sort of tongue and cheek prediction not too long ago that that would eventually be outlawed. Yeah, I think vote on directors either because, you know, that's even too much but I'm hoping that's not the case. Well, worried that that might be the case. That's the second story of the week. The third story of the week, just more shameful horrible nonsense from horrible men, but I can more this headline, I picked this headline because it says it all. about why I hate all these men and why he open AI opening AI says Larry Summers has decided to resign from both directors. You don't like the word firearm so everyone probably knows by now. Larry Summers former president of Harvard known misogynist known blowhard all over the Epstein emails. He even himself said, he's deeply ashamed, he said he was gonna step back from all his public commitments, although he said he was gonna keep teaching at Harvard because he has to keep teaching. And then he did something. He's I think he like some student captured some video of him and it was embarrassing. And so he's already. Now, he's gone from Harvard Harvard's investigating him. But my point here is I gave Sam Alton 24-hour window. I was like, come on, dude, just do the right thing. Like, fire, the guy openly, I mean, it's just seems like the right moment. Do it. No, but not only that, but They wouldn't even, they don't even make an official statement. I spent most of my morning looking at all, their press releases online. Here are some of the things that they've released as press releases since Larry Summers. Resigned open, Ai and Foxconn collaborate to strengthen us manufacturing across the AI supply chain, helping 1,000 small businesses, bill with AI, strengthening our safety ecosystem with external testing blah blah. Of course, there's a horrible one here. A free version of chat GPT built for teachers. That one scares the hell out of me, but there are 11 press releases that you pulled since he resigned. Yeah, and then I had a long argument with Chad GPT itself, trying to get it to explain to me why? This is what here's where eventually I got in the conversation with, Chad, she BT. This is the owner's of opening AI, of course chappie. T said to me, I apologize for treating your question. As just a communication issue before your pointing to the bigger question. How organization's reckon with more responsibility? Not just procedural correctness if you want. I can lay out whatever responsible ethically minded. Public statement might look like oh That could show how transparency and accountability could have been handled. Do you want me to do that? So you have offering to help me, what the hell, like what? So they didn't even use GPS to write the resignation. It's ready to help, right? I mean, yeah and not only that, but opening I itself thanked What did it say? It said, I know I had this in here. It thanked. Oh, it said they respect his decision and thanked him for his service. Oh, thank you for your service sir. We there is just no moral Center anymore, right. There's no more sense like there was, I don't this one. Maybe you're right. All distraction to me from like, they know what you're saying but he's finally we I there. I'm sure they're going to be altered. You said like a year ago like even if we got the Epstein files they would be messing with. Yeah. That's but but that point they release him and they still haven't been released and we're still talking about Larry Summers, okay, I know and I don't want to talk about Trump right now, but we you, we have been hammering Larry Summers for years. He was a since he was appointed to the board. In fact, I even made the case of Chachi PT that this wouldn't have happened in the first place. If, if you hadn't fired the women who tried to fire him open because you replace those women with, with Larry Summers and we've been yelling about that for Two years straight now. And check GPT basically agree with me and said, yeah, this is a systemic issue. This is a systemic issue going on in our economy where where women are you know, are are blame for things that they're not trust. You know, we don't blah blah blah. I wrote on chat GPT we should have fired the women with you. It would agree with me too. Like I don't, I hate all this but I'm glad he's gone from the board. It's not gonna change anything. I'm glad that's the third story week. Fourth story of the week. Quickly, back in the game. Um and speaking of Chachi BT, speaking of openai Jeff Bezos. He's now got his own AI company called project Prometheus he will be the co-ceo. So now we have another horrible, billionaire ego, competing to destroy us all with their nonsense. So I know you're rolling your eyes at this but not just as important that I'm not. I think it's important too but I, but I'm rolling. My eyes at the moment is spend the oh, as you should like as you should what a fucking like like, oh bro project I'm gonna bring fire to the masses like what a dick? Like only a white guy. Like the only thing, the only thing he could have named it is something from The Lord of the Rings book and it would have been even more asshole. Dickish like Naval geezy like Tech bro. Man, baby. It should like it. He should have called it like MacKenzie Scott would have created a better. Egg, you should have. Called their money helping poor people. I'm spending my money on my ego. It's such a finely very quickly, my last story and this is mostly to set up my joke at the end of the show The New York Times. Had a post, the CEOs, who came to dinner with the Saudi Crown Prince. We talked about this earlier on the week. Now, Trump is cozying up with Saudi Crown. Prince who you know, who killed, you know, One of the reasons why he killed the reporter in the first place is because he was investigating ties to the Kushner family with the Saudi. I'm serious with the Saudi Crown, Prince commence me back in the day. But anyway, here's some of the cues who come who are now? Just going along with everything? I'll say this quickly, Brian Armstrong, coinbase Mary GM. Mark Benny off Salesforce Alba, borla fiser, Tim Cook Apple, Jane Fraser Citi group Jensen Wong, Alex Carr, Elon musk's Steve schwarzman Blackstone flat, ten of of Robinhood of all people and Mike worth of Chevron. These are the luminaries showing up to this nonsense going which one of them makes you angry? Yes. That they showed honestly the one that stood out to me and we'll get to that later is I don't know why I'm triggered by this but it's Tim Cook. It's the one that stood out to me because they, they still he supposed to. Yeah, they have all and let me get to that later. So that all right. Look, I the story of the week is Cracker Barrel from our perspective. It kind of has to be. I mean, it's more just nonsense and racism. I would tie Cracker Barrel and the shareholder proposals because the Sheryl proposals is a big deal in our world. But Cracker Barrel is action, right? Like so, but I'm going to choose Cracker Barrel. But when the zine comes out, I'll probably just cover both of those. It's it's the it's the nadir, it's the worst thing, like it is, what it should expose is how little people think, and or care about Their fiduciary duties. They literally don't care. And this is like, yeah, and I will say that my joke about Boyer research at the beginning of the show, which was mansplained us. Why stakeholder capitalism would ruin? Stakeholders is. That's all they were talked about is, is fiduciary duties. Yes, and this, it's all, it's all cover. This isn't it? What if I do? Sure, doody is, is Blackrock and Vanguard and Alliance Bernstein, and all the companies that voted on this, you know, they vote on every election, but they vote on this one. Their money, they're not voting with their own money. It's not their own choice. They are voting with your money. And they are effectively saying, Cracker Barrel was trying, To diversify its Market. It was trying to get more money. It was trying to grow as a company. Everyone is trying to do the most basic thing that a company can actually retail and restaurant. And the reason why they're doing that is because only 55 year old and older were eating their only in the South and it hadn't made money. It was just losing foot traffic every single year for the last decade they bring in a new youngster CEO and they bring in like all different people to come up with an idea in the first idea they have is just let's just make it a simple brand and make it homey and simple. And then bots on the internet and internet trolls at Fox News. And fucking Robbie Starbucks, all shit on Cracker Barrel. And the cost of that was your money not being used to vote for the company to expand, its marketing Horizons. And think about expanding markets and bring in more Revenue, know it was get rid of the brown guy on the board and not a single one of them open, no page of research to figure out. Whether that guy is the one that should go. Now, one of you do raise a good and yet, frightening point, which is all these usually does start from some anti from some right wing anti troll. It's not like actual customers are complaining. It's not like Americans are caring how come. So my big question is how come they never pick up on our Viewpoint and anything and and run with our, he did three. I've been I really crying too crying in my dirty sweatshirt. For 50 years, that that it is Shameless, the low amount of women who are CEOs and chairs. In America is shameful, how come they're not picking up on that idea and forcing companies to to get more women in leadership and give women and not only that because that's not the way they have the boards. Give them actual give them actual roles of responsibility, why don't they fixate on that? That's not about hazelnut that's, that's something else move on. So I think you're right and never come back to it ever again. ah, See, I got by the way I do like ISS glass Lewis. It is nice. When we can agree with the right wing, right? We both kind of hate them at this point. Yeah. I think I, I think they would like to just do their research and be left alone, but I think now they're kind of stuck goodly. I've got two go, you go first, California adopts, tougher methane rule, for landfills to curb planetary warning, I mean, okay, look even though that that does seem almost seems revolutionary and in Trump's America I just like that they adopted a rule, not just talking about a new rule, they're not like researching whether a new rule can be implemented by 270. Yeah, they basically said then here's a new rule and the rule is expected to reduce landfill emissions by like 430,000 metric, tons of CO2 per year and their estimating, that could create as much as 34 million dollars in benefits. And the cost of like, Like well, of course. Yeah. Once again this is one of the weird times where I actually agree with with Trump Administration. Is that the secret the may be secret lining of making everything unaffordable? Us to throw into landfills, is that possible? All right. Right? Is that possible? Although although from everything I read from everything I read, Walmart is doing better than ever because it's so cheap and so I don't know that people have stopped buying things, they're just buying cheaper things, right? I I think yeah, because yeah, the Walmart earnings suggested Walmart Amazon are still like crushing, aren't they? Yeah, just Target, who decided to turn its back on gay people and black people that they're the ones who are suffering but everyone else is cruising. Yeah. So um I mean, what else? All right. So my second one, Black Friday, 2025 boycotts. What you usually hate this stuff? I do, but I like the name of this one, one is called Mass blackout. And the other one is called, we ain't buying it, protests, we'll Target Trump and billionaires. There's 40, there's where specifically targeting, basically the assholes who are telling you, you have to buy everything who were they, are they specifically targeting certain corporations? Yeah. Amazon deals. And, and, you know, the basically billionaires Amazon is, is generally the worst because There, there's no way for consumers to even have an understanding of if the sale is Meaningful or not. Because they establish pricing for, for, for for items, that no one sees anywhere else and who knows what they're really worth in the first place. You know what I mean? Like it is, the total. It's a total shit show over at Amazon. Actually, the funny part is um, Target is amongst the the stores listed as part of the boycott, as if targeting or boycotts, right? It's just like, how do you boycott when you're already boycott? I do, they do, they neutralize? Yeah, those are my two, here's mine. And I just want to just follow up from my celebration, a few weeks ago, of the, of a great election season. We had here in America. Another another one. I don't know why. I think they were counting late ballots, is what happened? This is why this is late News, Seattle. A woman is one the mayorship Seattle, Katie Wilson. She's a 43 year old Democratic Socialist, kind of like, Mom, Donnie, She beats the incumbent mayor. What I really love about this is not even her politics because in Seattle, I'm guessing both of these people were Democrats but she is maybe the first successful female College Dropout. So she studied at Oxford. She studied but she did not graduate Why. So, but but but but she, but since then, she's founded the small non-profit Transit Riders, Union has led campaigns for better, public transportation, higher minimum wages stronger, renter protection. She's been up to a lot, but I'm just saying, like we've never seen a woman, although it was a democratic election. So it's not like a company would have hired her, but he's would be sees, would not have given her money to to work on affordable housing. But still that, oh one she won. Something that may be the best juxtaposition you've ever made which is like a woman who went to Oxford and dropped out to go like make things more everywhere for humans. Yeah everything great. Can't get a job as a CEO or VC Capital to start a company. Can get elected mayor of one of the larger cities in the United States. That's great. That's classic taking it as a win. All right, I'll say yours is best just because let's go on to my segment for the win for me. Oh, trigger it triggering. Yes triggering. Yes. All right. This is very simple. It's a very sensitive work. I give you headlines and you tell me which of the headlines triggers you more. There are eight headlines here. So I pick one eighty eight, you're gonna pick one out of eight but I'm gonna remember two number seven. You're gonna give me a zero to ten score of how triggered you are first. And then we'll just take the highest, you know me? I'm triggered by everything. Go ahead. Yeah. But I'm gonna tell you why you should be triggered all. So I like this better, you're gonna trigger explain me. So I will trigger explain. Here's the first headline. Mark. Zuckerberg hate speech Gamble and you radicalization on Instagram as Millions watch Hitler speeches and Holocaust tonight. Oh, this I mean look, I mean yeah, this is just the worst. All right, so here's why you should trigger you in case you need to be trigger explained Zuck. Remember he killed the moderators in his founder mode, fire. As part of his master of Regulation, you Auntie woken in 2024 The platforms now show actual footage of Hitler. Yeah, it wasn't like, you know, a guy dressed as Hitler. Can we stop talking about this 30% of Instagram, users are between 18 and 24 and 33% are between 25 and 34. So they're Hitler prime age, they're Prime Hitler rosacea age and Zach has no accountability. He just won his antitrust case which is a big deal because they means he can keep Instagram and what's up? And there's no accountability for that and is to a clash here. So that's why. So you give this one, a 10, a 10 of 10 but, you know, here's the, here's the, at least, something good that could come out of this. I don't know what it'll have any like actual future ramifications, but France is already The French government is already taking action against grok and against musk because you can't and a lot of European companies, you act. So grok was generating posts that question the use, whether they're actually gas chamber to Auschwitz and that question the Holocaust. Now, you know, you know, you can't do that in a lot of countries in the world. Germany being one of them France. So there are already taking the government is taking action. I would say certainly their bit, okay? But I'm just saying like hopeful okay. Can I believe find some silver lining here? Like maybe we can start taking action against some of these. I don't even know. I don't want to talk about it. You're making me depressed. I can't take it. This is everyone out there and I wish I could talk to the whole world all at once for once in our lives. Not just have one listener but I'm gonna I'm gonna repeat Matt's headline and I'm gonna ask you, why do you still have WhatsApp Instagram and Facebook? Matt's headline was Mark Zuckerberg's. Hate speech, gamble fuels, gen Z radicalization on Instagram as Millions watch Hitler, speeches and Holocaust denial. If you're still using it Instagram and feeding the Beast. You are a part of this problem. I'm just gonna tell you, you absolutely are part of this but let's outline the full ecosystem here because in the article, the subtitle of this article is the speeches of Hitler speeches and the nakedly anti-semitic posts were in mashed in between advertisements from JP Morgan. The Army. Yeah. The like massive corporations and all the corporations have come back and said we can't control. Sorry, we can't control what they what they put there, but you can control if you advertise their and investors. Facebook should be in uninvestable asset. Full stop period. If you have a share of Facebook in your portfolio. You are actively aiding and abetting the radicalization of the it's not the United States youth. Its Global youth period because that's how you and let's be real for if any of you I don't are not spending time near teenagers or you don't ride like the public bus, the kids are on Instagram, pretty much constantly like like constantly when we, I just rewatched the movie, what's it called inside the inside game or whatever? It's a Spike Lee, it's Clive Owen as a bank robber. It's yeah. Denzel. I loved fabulous mover movie, really good. Yeah. But like, you're supposed to be outraged in that movie that the banker took property from Jews that were killed in the Holocaust and sold it in order to start his bank. I don't understand the difference. If Mark Zuckerberg is selling ads next to Holocaust propaganda and Hitler. Like, why do we look at like a dude, who literally stuff from the Jews and was there's no moral Center anymore? There's no, there's no. But this this fucking College. You think there's money to be made? Yeah. Well, don't forget that JP Morgan was accused of Dealing dealings, with Nazi, Germany, during World War Two. I mean, this is not, but this, that was a long time ago, of course. But so that was a 10 out of 10 that the first one, there's only that one sucks. Okay, here's you already mentioned this one, open AI rolls out, chat GPT for teachers for K-12 Educators and districts. I don't like this one, you know, okay. I I will Let me I this foreshadow is one of my headline is the week soon. Darker chai. Is telling you he's telling yesterday's headline. Don't blindly trust, what AI tells you? This is Sundar pichai. Yeah, run about the biggest. Who eyes who, what I'm reading now is that his model is actually even more advanced in Chucky, okay? He's saying that the AI models are prone to errors and urge people to use them alongside other tools because Because other products are more grounded in providing accurate information. He said, and at the same breath, the very next headline I read is open, AI rolls out. Chachi they are the Uber of ruining our world, right? Like, they are like that. Good. They are just, they just with, with alarming speeds, Sam Altman is just he's making Partnerships with. He, he announced a partnership with Target this morning. It is everywhere and it's bad. Well here now. And and now Trump is gonna make it illegal for states to regulate AI. He's only gonna let that federal government to do that. I'm just saying, like, it's not gonna happen. I'm just saying that this is a runaway train. We thought Uber was bad. Well here. And it was let me try because here, I already am two other Hilliard attend. I'm gonna two other headlines. Report finds that leading chatbots are a disaster for teens facing mental health, struggles and open AI blocks toy maker after its AI. Teddy bear is caught telling children, terrible things well I don't know about. Yeah. I don't know why. That that's the Internet, isn't it? Well, those terrible. Things that so chat GPT had a partnership with the toy maker to make a teddy bear that you could give to kids and effectively talk to and like, you know, communicate what? Yeah. This is a real thing and the toy maker. Yeah. Circumvented chat gpt's like policies and the teddy bear was caught giving kids advice, like telling them how to light matches and then driving sex acts and kinky sex. She's yeah. And then open all the rules. All the rules open. AI said we have terminated the partnership and we are doing an audit of all of our like, Partnerships to make sure nobody else is breaking the policy, right? They're doing their own audit. Great. But this is why Summer's gonna come back and be that he can. Maybe he can share that special committee that audits. Yeah yeah. But other way the one emotional the kinky sex acts like I'm sure by that but the one I'm mostly triggered by is the Chachi PT for teachers. Yeah, well that this is just I'm trick. I'm triggering. So is it? What's the score on this? That's a 10, another 10, okay, it's too much too fast and this is what scares me most about open. I this is why I supported the board action against him. A, of course. Now like there's so many other corporations that have caught up that even if you got rid of openai, what does it matter, right? I mean, but but still like, this was my original problem here, is that it was built for good. It was built by a non, you know, there's a nonprofit which is core to its its practices and but this is just like runaway greed. Gone crazy. He just force feeding it down, everyone. I don't know. I don't know and making it for free. Is the part that scares me the most right? This is like the the joke and every TV show, right? Is the drug dealer? Gives you like free drugs until you get a taste and get addicted, right? I mean they they say there's actually saying in Silicon Valley that should be free if it's free. You're the product. That's the, that's why I know, but it shouldn't this thing there are burning so much money. The only reason why they exist is because the, VCS are letting them lose all this money they're losing, from all reports that they're losing tons of money. There's a lot of their estimated Because the profitable by 2030, okay? Okay, but the point is that She's doing this in the first. Place, they should be selling. L to education and sell to school districts. Fine, I guess. But to give it away for free and, and Sam Altman has no understanding of. He has no background in education. I just literally the most effective game I've ever come up with. I've never actually, you know, when you, when you talk about Jewish things and teachery things, you know, I mean, my mom, basically wait till the clothes are. All right. You mentioned this already. This is the next Target announced this partnership with open. AI. Is it? Aims around? I don't whatever's. Here's why it's, you should be true explain. Brian Cornell is still running the company. He's just pretending not to write. Like, he's on the board. He's exactly chair. He's executive chair. He's his Lieutenant of 20 years, is air quotes running the company, but it's Brianna still running. That's not an external hire that they didn't get the guy from from like Chipotle. They just got the next guy. Right. So now consider the headline I just mentioned to you about, you know, chatbots are dis For teens and they're caught telling children, Terrible Things what Brian Cornell just forged was a partnership with a chatbot that can make it easier for a kid. Who's asking, how do I make a noose for them to say, here's where to buy the Rope at Target? We'll send it to you, right? Like, isn't that the partnership isn't that bad? But they already partnered, they partner last week. With Walmart. Didn't they did? Yeah, they did that, like, this is bad, but this is like just capitalism bad. This is like a five five. I missed on that one. It's bad. It's bad. Yes, what is strictly for me? Five is still bad. By the way. I, I think. Oh, was, okay, this one's strictly for me, Disney launches, newest cruise ship amid massive seafaring expansion, right? And they're striking out on their streaming, so they're just building more ships. Yeah, I think what I think actually, that someone told them that, no one can afford to go to Disney Parks anymore. So they were like, well, maybe they'll spend their money. Not at a Disney park but on a Disney cruise, which is like a park with norovirus because that's the trigger, explaining CDC investigates, norovirus, outbreak on Disney's Wonder, that's one of the cruises look, I'm at the point now, you see used to trigger me, but now I'm just like, you know what, those people just go off together and get norovirus together. The only problem I have with it is that Well, not so much in the winter, but in the spring and fall the fall, especially we have so many cruise ships in the city where I live and there was a story. I think I shared it with you a few weeks ago where there was a norovirus outbreak on the cruise ship docked in Portland Harbor and they and the cruise ship wasn't forbidding passengers from leaving the getting out of just shiting on like this is a tiny City. I mean sometimes we have like as many as four cruise ships, that's about like a quarter of our population for cruise ships and they're all like running around like diarrhea hands. That's not good. I mean, there you go. What's your what's the number here? Yeah. So maybe so. Oh. It's five, five music, it's just more the same trigger trigger release that one was for you. That one was for you. Here's one for you because I know how much you like not these CEO of palantir. Says he spends a large amount of time talking to Nazis. You know, there are certain things, I thought as a society that we had achieved, like I thought, where we were well past giving, you know, women the right to choose a right. Well, medical procedures like abortion, I thought we were well past like gay, you know, equal rights for for gay people. I I actually thought we had all agreed that Nazis are the worst. I mean, they were the bad guy in Indiana telling about them in public forums in a positive way was made you absolutely scum. But no, we're we've lost all. So there was another headline this week about how the Coast Guard will no longer basically regulate the use of schwa stickers like and nooses and they're both not have them in private. But no, let me, let me ask you this now. Mark Zuckerberg, I know is Jewish. Oh, I believe it's partly Jewish or is Jewish, is part Jewish and so what is going on here? So with this one, He liked the interview. He did was on a podcast. He said he talks to actual Nazis and he's trying to understand what makes them tick and but here's why it should trigger you because what you saying was effectively like I'm trying to learn about Nazis so that we can prevent it from ever happening again kind of thing but it was very awkward and weird. So, whatever partnering with Trump, there was no self-awareness that a man with dual class control of what is the American digital gestapo palantir is a digital gestapo. All it does is survey you and watch you and make sure you're not woke. Now, at this point, he's on, ironically fascinated with how the actual gestapo worked, right? Like And even, so Trump has this, it's kind of like this unofficial consultant. I don't know much about. She she's a right wing troll named Laura Loomer. She's like, oh yeah, she's not a real insulting. She's but, you know, she is saying that the Republican party has a white nationalist problem. Even she is saying she is Hispanic. Okay, but the point being is, if I believe Alex, karp, why is he coaching up to, to a party into a Administration that is hosting Nazis regularly. Like what? He's buy shoes. Damien, like, give me a number on this one. Oh, 10, I mean, just say Nazis. Oh no, I'll give it. No, I'm sorry, I'll give it a nine. Yeah, it's less bad, it's less. It's less bad. I mean, I just don't trust. You know what it is? I don't trust Alex, karp III, I sent you a story earlier today. I was like, you know, here's why I love New England so much. And here's why I think I'm in the only like Progressive part of the world at this point because everyone else that we used to love is going back now. Even like New Zealand, everyone's going back. All right, going nuts. Even on their I was on a stupid Red Sox fan site which usually is talking about like trades. That'll never happen. It's just a bunch of dopes talking about like, RBIs and stuff even there in that dumb fan site. They were angry that that Fenway Park allowed pound to show an advertisement at Funway Park. And it was only because had nothing to do with the Red Sox, I guess it was their hosting, some other event. I was like, only in the wingland are Dopey sports fans. Also angry at palantir, Alex carpal, like me, like I feel good about that. I feel Good list. Here's let's move on. All right. This one's gonna be quick because we already talked about at like Cracker Barrel investors back CEO after logo Fiasco, but dropped director, is just here, ISS glass Lewis enabled institutional racism. This is, this is ugly. This is a 10. This is I, I agree. It's my 10. It's another me one, but it is right. You know, look, if you think about it, like if this guy was a perfect and not that, I think it would have been okay, because I still think it targeted the chair. And this is since, if you're going to Target anyone, because the CEO was hired to do a turn around and the company was struggling, right? But if, if you had someone who was like, Maybe there were a left-wing Professor who Advocates like killing CEOs like violently and they're on your board. Maybe that's a weird look or something. But this guy look, this guy's a marketing specialist who is just trying to find work many customers as possible at an American company and and I I hate to tell people if they're not aware of this, but America is a vastly multicultural country. We're not a bunch of like white proud boys from Idaho anymore, like we're, we're pretty goddamn multi-cultural. So to Target him is beyond me what? And what exactly was his role in changing the sign? But he knows nobody knows but I'm pretty sure his advice was probably sounded something like you know if you want to open up like a Cracker Barrel in like Arizona, it would help to have a Spanish option menu, right? Like it's probably a step two and then it's like he off the board date like I love That we we care. So deeply so bad, so deeply about Heritage when it comes to this. But not when it comes to like tearing down the East wing of the White House, like it's nuts. All right, that one's a 10. Here's two more ready? Yeah, both of these are for you Duncan customers, outraged after anonymous, Facebook, user leaks display showing tariff, shrink flation, costing you less coffee in your cup. I'm kind of confused by this, so I don't means Duncan's giving you less coffee. You can't even go order a regular without getting ripped off. They just give you less coffee. That's all it means. You know, this is the time of year where I start to get chubby. And I think maybe this is true of all people who live in cold climates. I don't know. But it's the holidays too and it's hibernation for nine months. I, I exert so much horrible willpower to eat. Well, I hate it. I don't, I don't and I don't take those epic. I just just restrict myself from all the things I love like donuts and sweet coffee, you know? And, and this is this is the only time of year world. I will sneak out the Duncan and get a disgusting, the sugar e-mail delicious coffee and I'll sit in my car. Probably listen to radio and I loved every minute of it, so I'm kind of sad. I'm gonna get a little bit less of it. But look, I mean compared to To like, you know, teenagers listening to Hitler speeches. This is like a, what? Like a four. I don't know what I don't. I mean, what are we talking about here? I don't know, it's just whether you're triggered, it's a four. Sure, I can't believe people still use Facebook. I'm more triggered by that. But here's your final option. This is a an article despite some initial skepticism could targets turn around be right on Target by Jeffrey, sonnenfeld. Oh, that's right. He's back. We can have to go. Jeffery son released an article talking about it had this. It was well, you know what it is. I saw this headline, I'm guessing this is from Fortune. I, I saw this headline and I thought, oh, she said there's so many stories about Target, so I can't tag them all, but I didn't know it was Jeffree Star. That is the quote I found this specifically for you. Yeah, as he retires, Brian Cornell has much to be proud of as one of the most admired and accomplished CEO. Detail for the record inside and felt article. He did not mention once the entire article, the boycotts around Dei the turnaround on Dei The Pride merch problem the anti-walk movement or how much is the sales about the sales problem. He he basically traffic problem. He basically attributed the sales problem to Cornell decided to become the Premiere Online outlet and at the cost of some of the customer experience. Now Fidel Keys perfectly positioned to return the customer experience as this is a brilliant team. They did some research that showed internal CEO hired 11. This is an 11. I love it. I hate you. Spelled a new son of felt would be more triggering than not. I just he's so inauthentic. It's like, the only thing that we in this is probably why we fail as a company and we barely make livable wages. Is that the only thing we aspired to increase this company is just remain. Authentic, remain independent. It's all we can really do. Alright, this guy is like the opposite of that. I don't know what his game plan. I don't know what he's doing. I don't know if it's all about friendships or ego, but come on Jeff. Like what? What? In the face of Costco and Walmart who are clearly crushing it. I don't. What is this bullshit? And by the way, Brian Cornell. He's not, he didn't retire, he where'd he go. He's still there. The whole thing is just I just hate that he's allowed to pontificate like this. And by the way, weren't we supposed to have a Ford a partnership with a fortune. We're supposed to be, they never got back to us. Just say, you know, you have a conversation that we were supposed to do. Some regular reporting for Fortune. Yeah, of course, they wouldn't get back to us because our stuff would be better than son of felt reach out to us. We make fun of them just so you know. Brian Cornell did win the legend and Leadership from Yale led by Jeffrey, Sonic. What year 2020. Maybe that's a year, he maybe that year was okay. But since then target has no dived, so well, that was the year in like I actually started out the number of times they said the word diversity in their proxy statements and oh, really the reports? Yep. And 2019 is when they start really using the word diversity 2020. They used it 130 times. Wow. And then like it was important then and then like now they don't basically use it at all. It's like a handful for you and you destroyed your business. So that's a 10. That's a 10, that's a 10. All right? That that the end result here is one, two, three. Four out of eight were tens. Okay? But two two had to do with Nazis, though. Yeah, well, I mean that's the truth. Again, this is how are. All right? Let's try like the trigger game. All right, let's do headlines and winners and predictions, and let's get out of here. All right, I'll skip my I had actually had one about. I told you already that sooner purchasing don't trust Ai and then of course the same time opening eyes rolling out of a free premium for teachers of all 10 baby. Yeah, but here so I'll skip the two two headlines. I just love Who? Who Hooters CEO? I can't believe it's still a place called Hooters Hooters CEO. Says private Equity turned it into a boy's Club hanging out. Now, he's plotting a family friendly makeover. I mean, think about all that. I mean. So the place that The objectified women and made them wear like tight shirts and tight. They had that big boobs. Yeah. Your your surprised it turned into a boys club hangout know. He's saying what? Exactly? What he turned it into a boy. They are what they're the ones. Who did it. Yeah, it wasn't. It wasn't the concept of Hooters in the first place. And how is it gonna be family friendly. So I just don't even know. Just blow it up and start over the second one. I love is this one from Tyson Foods. This headline, Tyson Foods will stop calling its beef, Net Zero and climate smart. After lawsuit from Environmental Group, can you imagine they called her beef climate smart. Yeah, I remember that. I think that isn't that old is that the moment like that's like a thermostat like from like Nest thermostat from Google, it's like a smart. Like what? Like the beef the cows are climate, the clouds are just they're grazing and they're farting. Like, what? What the climate smart now, I just thought of stupid Tyson Foods is stupid. What do you got? I got one, and it is simple. I thought you had a couple. Oh, I do have two, I lied. I just input my hairline Mark next. So I'm the first one is Ari. Emmanuel wants to host, UFC fights with Elon musk's, Optimus robots. That's great because they already want to do. They want to do a UFC fight on the lawn of the White House in July 4th, right? I think it's better. Not kidding. I think the only office of a robot that I like is, if the robots are fighting each other. It's yeah. Like, you know, fall apart like, if you watch the Chinese competitions, it is ridiculous, the robot's, like, on themselves. I don't. And then this one, this one could I almost put this in trigger trigger? Yes, but Ackman doubles down on fire lockdown. Automatic trigger yesmin doubles down on viral dating advice and shares an additional approach. Yeah, I didn't I saw these headlines. I didn't open them because I don't want to know about black. Men. Tell me what's going on with Bill. Ackman said. This is a quote from the article Acme. Noted that his approach, his approach the approach he's talking about is how to On women, basically, he's giving like this include Claudine gay, the former president of Harvard know you just on her, you you just were fired like like aakman noted that his approached the most effective when he was on the move as long as I was on something moving. So an airplane, an elevator and escalator a Subway, something about the increased, the vulnerability of it of it being effective and it Sparks a conversation. He said, now if you read between the lines, all of those places are places where women can't escape you. Yeah, they're trash. Because they have to, it's just like being in a cafe like reading a book or something or doing their homework, like they just like there's no way to go anywhere. There's no way to go where to go, right? Yeah. So that's where you should ask. Can you imagine turning to somebody on an escalator and this guy he had a very specific thing. What would he say that he would say in order to like, write start up a know it's he it wasn't like specific to him. It was like he said, oh God, I'm trying to find it quickly. It's like it. Please find it please. Like, anybody needs it? No, because I want women to know that. If you do, if you hear this, look, go the other way. May I meet you. That's the that's the hit that that's his line. He said the effective line is when you're on these moving objects or is that means he, you turn to a woman and say hi I meet you. My need to put the silver girl, you should have put that in the trigger part. That's I mean, look as as pick a blinds go, that's better there like he already married, he is married but like that better than like yeah. Typical pickup line, why do we care anyway? Like he's getting clotting gay fired. What? He's married and want to know about his pickup lines. What do you know about the headlines? It's all about. Um, yeah. All right. Yeah, winners who won this week? I'm exhausted. I got to go right to Tim Cook. Oh no, he did not win the week for for some weird reason. Okay, first of all, he shows up for dinner for an openly hostile anti-gay President, right. And I'm not talking about the prince who's hosting a prince, from a regime where technically the death penalty is still on the books for same-sex. That's sexual activity Point. Did you think he went and like shook his hand? And was like, Hey congratulations. Think about this attack in the days? I mean, think about this, but here's why he's the winner. There are numerous reports which suggests he's almost done with all this bullshit. He's leaving soon. He gets to be free and he can just be himself again and he executive chair. Won't he? Oh, he got, he's got billions in Apple stock and he could and he can, he can pretend to Value human rights while he's hanging out like wherever on escalators with other with other men we hit on. I don't know what he's yeah. And here's why I got triggered from this. This is from Apple's, because apples still, one of the only companies that even on their Apple store Page. There's a there's a section on diversity. There's they have a commitment to Human Rights, here's part of that. We're deeply committed to respecting internationally recognized human rights in our business operations, set out in the Universal Declaration of Human Rights, International Covenant, on civil and political rights in the international Covenant on economic social and culture, right? So Apple, you know, this is them, this is them doing this and I applaud this But they're the ones who put all this material online, they're not hiding it. And yet Tim Cook is showing up to dinner to two of the the most known anti-lgbtq people known on our planet right now, I mean, these these two, these two jerks. So there you go. Tim Cook, congrats. You're almost done. Well, just and to Matt's Point don't become executive chair. Just leave, you don't have to be fake anymore. You don't have to be a fake. Um, yeah, the human rights tracker, and all the like scores of Saudi Arabia. It's like one of the worst places on Earth. Um, well, no, I I'm gonna tell you, I'm gonna repeat. It's still technically a law that you can get the death penalty for same sex, sexual activity. I just like that. Apple has a commitment to human, right? You're pointing out that like they are set set out the universal Declaration of Human Rights and by every measure, Saudi Arabia, Is contravenes, the universal Declaration on human rights and he shows up to a dinner specifically with that guy. This guy killed a reporter from Jeff bezos's before Jeff is owned it. This guy killed a reporter from The Washington Post because he, you know, well for obvious reasons but and of course, Trump said to that, like, well things happen. Yeah, well, but you, but this but this is Tim Cook. Shouldn't be showing up to dinners like that. I'm just saying, if Apple's gonna probably look if you're caterpillar and you're like we don't care about black people women anymore. Fine. That's not what Apple. Did you remember? 26? My Roman they convened. The Economic Council when Trump was trying to put it together and that Tim Cook said, no, he not. I will not join this. There were other CEOs. Actually that did the same thing. Remember? Yes, it wasn't just him. Yeah. And that was a different time I guess like, oh, I guess it was. All right, my winner of the week is Scott, Gottlieb Doctor, Scott, Gottlieb, do you know doctor? Scott gobble. Here's the headline, Scott Gottlieb. MD, joins United Health, Group board of directors oh despite being one of the losingest directors in our data at any large cab company. In the United States, he's on the boards of alumina Pfizer and Tempest AI. I don't even know what that is. He has a staggeringly low. One 84 TSR batting average. During his ten years, all these boards, and a 280 earnings batting average meaning. He basically ranks among the worst of the worst performing directors on the basic things investors. So what make what you're saying and make stock go up, right? Yes. So what you're saying is that he's on boards where the the share price suffers and their earnings suffers there. Well below average, yes, he's an insufferable board directors. He can still find time in his day, to join the United Health Board under the banner of current and CEO. Stephen Hemsley. That is a winner. I mean, right? What? You got another bus position and that's a lot of money that that director competition over their health. That's a lot. All right, you got a prediction. Uh, keeping with my team, Cook jokes, Kid Rock and Eric Trump start shooting iPhones. After a trans teenager post about how happy she is to have received her first iPhone on Black Friday. Oh that one that would make me sad. That was just makes me sad I got a quick one. Yeah Bill Ackman gives sex advice on Twitter. Be sure to tweet about it afterwards. That's the sex advice. Yeah, show first. First you show off how happy you are to get rid of the black woman at Harbor, then you and then you tweet about your sex advice. That's all we got. That was that was an unhappy show. I feel that was too much. No, I feel good. I feel good. That's his little role is also known Damien. I'm your own soulmate. We are free float. That's all we got for now is another show we're gonna do today, proxy countdown, it's coming out. And just after this one, go check that out, actually, because we're gonna talk more in depth about the SEC, you know, no action stuff. We're gonna talk about what you can do about it, who you can Target. We're gonna talk through. Actually, there's a whole of some, a small hole of Fame with some of my favorite shareholder proposals. So go get that until then good. Bye.
