Proxy firm fight at Harley, CEO Pope names, Zuck’s people replacement plan, Tyson names Tysons to board

Discussed in this episode

Show Notes

Story of the Week (DR): Berkshire board names Greg Abel as CEO, Buffett to remain chair Warren Buffett says he'll propose Greg Abel take over as Berkshire Hathaway CEO at year-end Warren Buffett makes surprise announcement: He's stepping down as Berkshire Hathaway CEO OpenAI backs off push to become for-profit company In a nutshell, with help from its chatbot: “OpenAI has restructured into a hybrid model with a nonprofit parent company, OpenAI Inc., and a for-profit subsidiary now called a Public Benefit Corporation (PBC). This shift allows for investment while keeping a focus on its mission of developing AGI for the benefit of humanity. The change responds to previous criticism about reducing nonprofit oversight.” OpenAI’s nonprofit mission fades further into the rearview Sam Altman urges lawmakers against regulations that could ‘slow down’ U.S. in AI race against China Kohl’s CEO Fired After Investigation Finds 'Highly Unusual' Business Deal with Former Romantic Partner Kohl's CEO Ashley Buchanan was fired after an internal investigation revealed he violated the company's conflict-of-interest policies. The probe found that Buchanan directed business to a former romantic partner, Chandra Holt, who is the CEO of Beyond Inc. and founder of Incredibrew. Holt secured a multimillion-dollar consulting deal with Kohl's under unusually favorable terms, which Buchanan failed to disclose. As a result, Buchanan was dismissed for cause, forfeiting equity awards and required to repay a portion of his $2.5 million signing bonus. This marks the third CEO departure at Kohl's in just three years, highlighting ongoing leadership instability amid declining sales. Proxy Firms Split on Harley-Davidson Board Shake-Up MM Glass Lewis= Withhold; ISS = What’s happening at Harley exactly? We have a fun twist at the proxy cage match between Harley Davidson and H Partners, who are 9% shareholders and have started a withhold vote campaign against long-tenured directors Jochen Zeitz, Thomas Linebarger, and Sara Levinson: Glass Lewis says “withhold” but ISS says “support”? Through lackluster reasoning based on hunches and not performance analytics, ISS revealed, without satire, that "[T]here are compelling reasons to believe that as a group [the targeted directors] still have a perspective that can be valuable” and, in discussing the candidacy of departing CEO Jochen Zeitz: “[I]t appears that his time in the role has been more positive than negative, which makes it hard to argue that his vote on a successor is worthless.” Testimony in House Hearing: “ Exposing the Proxy Advisory Cartel : How ISS & Glass Lewis Influence Markets” A 2015 study found that 25 percent of institutional investors vote “indiscriminately” with ISS [1]. In 2016, a study estimated that a negative recommendation from ISS leads to a 25-percentage point reduction in voting support for say-on-pay proposals [2]. A 2018 study demonstrated that a negative recommendation from ISS was associated with a reduction in support of 17 percentage points for equity-plan proposals, 18 points for uncontested director elections, and 27 points for say-on-pay [3]. In 2021, a study examining “robo-voting”—the practice of fund managers voting in lockstep with the recommendations of ISS—identified 114 financial institutions managing $5 trillion in assets that automated their votes in a manner aligned with ISS recommendations 99.5% of the time [4]. A 2022 study provided further evidence that institutional investors are highly sensitive to an opposing recommendation from a proxy advisory firm. Opposition from ISS was associated with a 51 percent difference in institutional voting support compared with only a 2 percent difference among retail investors [5]. During the 12 months ending June 30, 2024, negative recommendations from the two proxy advisory firms were associated with (1) a 17-percentage point difference in support for directors in uncontested elections at the S&P 500 (96.9% with the firms’ support vs. 79.7% without); (2) a 35-percentage point gap for say-on-pay proposals (92.8% vs. 58.0%); and (3) a 36-percentage point difference for shareholder proposals (42.4% vs. 6.6%) Why Leo XIV? Then came the termination email — and a performance rating of "Meets Some Expectations," low on Meta's end-of-year rating scale. "How could they evaluate my performance when I'd only worked 10 weeks in 2024?" he said, adding that an HR director had said he was "too new to evaluate." SpaceX launch site is approved as the new city of Starbase - I predict in 12 months, Musk is offering SpaceX employees that live in Starbase (a company town) crypto tokens instead of pay that are redeemable at stores in Starbase. To avoid them being called scrips, which were outlawed in the US in 1938 but still used anyway through the 1960s, Musk will list them on crypto exchanges that can be used to trade for dollars (but are totally worthless). Eventually, so indebted to the space plantation and Musk, there is a new renaissance of “resistance music” (a la “We Shall Overcome” and “Sixteen Tons”) with a song ranking number 1 in the US by the end of 2026.

Here. Riverside live. From a bathtub full. Of Chief sustainability officer tears. Wow, actually, I would bathe in that it's a business pants Friday show here at May 9th Studios featuring analysts home at mascardi. Spreadsheet. Whisperer right? I have two imagine. There are a lot of Chief sustainability officers these days. For good reason on today's weekly wrap-up Berkshire, Hathaways new pope. Oh, Subaru, Love's gays cyclists. And 10 Things, I Hate About Zuck. Yes, great movie. It's a great classic music. Classic rom-com. Yeah, our show. Today is being sponsored by free flow analytics.com. The only platform measuring board power connections and performance for free. Yeah, yeah. The audience, I talked to the audience before the show. They actually are clapping kind of sarcastically because I was telling them that if only ISS had had access to our data before their weird punt. Yeah that's foreshadowing to a story we're going to cover today. The funny part is they did because they do is free. It's free. It's free. That's true. Actually and I SS don't be afraid to reach out to us. If you don't, if it's hard for you to understand if you're like, if it's overwhelming just call us. It's I mean like the full methodology is all so free and a lot of the data is free and even with all that if you can't figure it out we're available. Yeah. Make it make me get, get out of us this morning about directors. Other than just age. What? But there is age on there. Yeah, we do have. There is a job there. Let's do it. Come on. Story of the week. Haha. Oh, you excited today. I know I'm feeling good. I've got five, although the last one is kind of introducing a new concept based on the new pope. So let me just start at the top. No particular order a Berkshire. Has a new CEO Berkshire? I love, I love how they this headline. Goes Berkshire board names, Greg Abel a CEO, Buffet to remain chair. When Buffett stepped down, he said to the he he like asked the board to named Greg Abel but that you know come on. What are we talking about? I mean yeah how short this other headline made me giggle too. Warren Buffett makes surprise announcement. He stepping down. He's 94 years old. He's 94. Yeah, it's a surprise though. Surprise expected him to die in the role, you know, office like Charlie, Munger, yeah, so that's I don't know what you want to say about this, but we've known, we've known that Greg Abel was gonna take over since I worked. No, no joke at GMI rating's. That's how long we've known. Well, I would say that is the longest succession plan maybe in the history of succession plan, right? They're calling him a genius for this session, but is he a genius for the succession plan? I mean, who do we care? Is it? What do you think? Well, so, I I know he's stepping down. I know he's been a historically. Fantastic investor. I know there's a lot to like about his folksy isms. but, We're really quickly ignoring the things that like Warren Buffett was not so good. He was ignoring, you mean, he ignored a lot of things. Yeah, he did. He had a tendency to not care about a lot of stuff that is important. Yeah, true. But like kudos to him, he said that for when he dies how dare you crap on him when he dies? Not now now he's the chair so he's still gonna be calling. I think Greg is still gonna come to him and be like, what I do here? He is if he lives for like two or three more years after he steps down, he will be chair a Meredith. Well it'll be like in a Meredith won't he? I mean almost a guarantee. Ya The good news is that we still don't know. He still could be the first immortal person so he might live forever. He don't know. All right, second big story, open Shadow open, AI backs off, push to become for profit company. This is a little confusing and I actually asked its own chatbot to summarize this for us first, it came up with something that was just too overwhelming and I think full of bullshit. So I asked it to kind of even pair that down. I'm gonna read what it says. Openai has restructured into a hybrid model with a non-profit parent company. Open AI Inc and a for-profit subsidiary, now called a pub, which is a public benefit Corporation. This shift allows for investment while keeping a focus on its mission of developing AGI for the benefit of humanity. Oh, they didn't insert any kind of, there's no chuckling emojis there. That's what they said. The change response to previous criticism about reducing non-profit oversight. Although what it left out is that soft Banks, massive investment of billions of dollars required the company to become for profit within a year. So I Matt like everything at open AI I think everyone gets all the stories about it. Kind of wrong, I don't know. Is that your sense to like nobody knows how to talk about. Open AI. Well, Does anybody know how to talk about public benefit corporations? No, not really. You know, there's a, there's a very stakeholder mandate baked into public benefit corporations, it all seems good but in practice do we know that they are actually with thing? Or is it like the Business Roundtable pretending that they like they want to help homeless people or something like, is it the equivalent to that? Well it's very New Concept, very new structure a public. If it's in Delaware I imagine right? He just have to write down that they're doing this for the benefit of like Humanity or stakeholder in their doctor. How can they prove that and measure that Well I think that's the requirement. Like isn't that the only requirement then listen to me? And why don't we just pull the plug on all this AI stuff? Why don't we like pause for 100 years? Well, that would be a nice that would actually be for the benefit that could be very well could be so that and that's where it's confusing. Because if you make something that could destroy humanity and calling it, something for the benefit of humanity, is that a public benefit Corporation? It's just write listeners. Yeah, I don't know a lot about public benefit corporations, structurally. So let's get us on LinkedIn. Somebody send us an email, give us a full rundown so that we can actually make a joke out of the fact that open AI is going to be. I was gonna say, if we like your answer, we would even be willing to mock you next week on the show. That's true. Well, Mark, you here alongside open today Um, that's the second big story. I love how yesterday Sam Altman is actually testifying in Congress, asking them basically to stop regulating his company. So, now Matt, Matt, my intuition would tell me that it would benefit Humanity to regulate companies that are trying to make massive profits off of AI. Wouldn't that benefit humanity? Is there any situation that you can think of in which A company that actually works to the benefit of humanity, asks for you to stop looking at it? Well, it benefits Humanity, like is there a situation that happens using China as the reason why you should stop looking at? And by the way, I'm gonna tease my last story right here. I actually I've renamed Sam Altman in my last story to Mark the seventh. Oh, I don't, you'll see what that means later. Mark the seventh. Okay, I already don't like it next third, big story, I think that this was this week Kohl's, CEO was fired after an investigation. Find, highly unusual business deal with former romantic partner. Remember, that's the dude, Ashley Buchanan. Who essentially created a multi-million dollar Consulting deal with his girlfriend under unusually favorable terms, which he failed to disclose that's a bit much. Honestly, the real headline inside that headline is former romantic partner, either way. Not together anymore. It could be friends with benefits. We don't really know. Do you think she wanted more favorable terms and that was part of the breakup? The other big story here is that, this is the, the, in terms CEO represents the fourth CEO at Kohl's in three years and yet all the board members are still there. Not only are all the board members still there. Oh how. But this was actually Buchanan. This is a repeat. This actually has screwed up before, right? And his former job. Yeah. Like was he like dollar store? Yes, Dollar Store. Like so, this is the second time with the same romantic partner that there's been some sort of unusual deals at least, so the succession planting did not involve asking any questions. Like, do you have any weird deals with romantic Partners? I found that on their own. I mean, couldn't they done a Google search? Even a Chachi BTS, she came up with it. Listen, I will say this a, I applaud Companies for actually firing people. I applaud companies for actually disclosing. Why they fired the CEO and for not letting him walk away with a massive golden parachute. But I will say why is how is the board not held accountable for this? How do you think there's a problem with the fact that we have to applaud them? I know firing someone who did crap, I'm waiting like Kroger's which still hasn't told us how it's horrible unethical, CEO screwed. I'm I that's the most exciting 8K of the year. Like, let's go to the fourth big story. This is my nerdy story. I think you referenced this later in the show, so I don't know how much you want to cover it here but the headline is proxy firms split on Harley Davidson board shakeup, which which is confusing because Neil minnow was Congress this week testifying a house here in called exposing the proxy advisory cartel how ISS and glass Lewis influence markets but they did they they didn't agree. So is it really a monopoly that they don't agreement? I love when a cartel disagrees with itself. Yeah, but here's the funny part. I'm gonna highlight the funny part and that and the funny part is, of course, ISS there are always the funny part. Yeah, I SS is my new favorite funny part. Ah, they're looking, okay. So each Partners is asking their 9% shareholders of Harley-Davidson. They are asking shareholders to withhold the vote for three very long-term tenure directors, 17 years. Yeah, plus one of them is who is the former CEO has already stepped down but it's still lingering. Yeah, he's like hanging out like a kid at the high school after you graduate. Yeah. And this is ISS is extremely lackluster analysis and this is without satire. Here's the quote. There are compelling reasons to believe that as a group. The targeted directors, still have a perspective that can be valuable. Oh, wow. And convinced. Yeah, and in discussing the candidacy of departing CEO, yolk and sites. They say it appears that his time in the role has been more positive. The negative. Yeah, which makes it hard to argue that his vote on a successor is worth. Less. I just, I don't know what's going on. I don't, I don't, I don't know any of this. Last one is the one that really drives me, okay? Because because if you are saying, first of all, you're saying it appears. It's been more positive belief or an appearance or so. First of all, what is the appearance of positivity versus the appearance of negative tell us? Yeah, second of all, positive and negative connote measurements. Yeah, you should be able to say quantify here are the positives and here are the negatives, there's more positives than negatives. Like yeah. Has a really nice eyebrows that he manicures versus. He has bad teeth. I don't know, whatever your positive and negatives are. They don't offer that part, they just say it appears. I guarantee you that last Louis listen, to our reporting on this. Heard us making fun of us and said, okay, we gonna have to say something real even Jones all so too. But like here's the other thing that The largest shareholder is hardtner. They own 9% of the shares. What? That's a lot of shares. and, Issa said, the largest shareholder is totally wrong and including the fact that they had a direct on the board who whistle blew about the problems on the board. And I SS was like that doesn't seem relevant, it appears that something else is more important. Well, let's not forget it. Let's not forget the company is not doing well. Oh really. I mean does that not factor into this? They're not exactly soaring. This isn't Nvidia. Soaring into the sky, it appears that struggling to tell company. Okay? Okay, sure. There are compelling reasons to believe that they might be appearing to do. Well, what the thing I don't get about ISS, is you have a golden opportunity. You could at least get rid of the CEOs retiring. You could at least get rid of the woman who's been there since the Clinton Administration. I mean that's not hard know you're making their vote on successors worthless. Okay. All right, let's go to my 5th story of the week, which is Really just me introducing a concept that made me laugh and I that no one else is probably gonna care about. Okay, so there's a new pope. He's a he's actually a dude from Chicago which also makes me giggle. In Chicago, for like eight minutes though, he spent most of his life in Peru, but I saw a picture from the White Sox game and I just thought like, wait what? Like, as a child, I don't, I'm not a Catholic, I don't know much about popes, but as a child, they just seemed like they were Larger than Life figures, right? They were they weren't real. They were deities, but really they're just dudes at White Sox game. So go to Villa, which is, which we got a pretzel. Yeah anyway, what fascinated me is that the? So I don't his real name is, what is it? It's Andrew. Provo, is it Andrew? I don't know, he has a real name, but in the wrong guy, the papal system has this awesome system which renames the Pope's to because each name signifies something else. So for instance, they're saying that they're calling him Leo. Because Leo's before him were reformers or Defenders of church teachings. So their suggesting that he is going to carry on some kind of social justice, kind of thing that the last Leo did, right? And as another example, the former Pope Francis Who just died his that name represents poverty, Simplicity, ecological concern. And we know that to be true based on what the last Pope was pushing. So this got me to think. Wait, what the hell? Matt. We're screwing up. Wait, well, how because we complain constantly that that nobody knows the name of CEOs, nobody, nobody pays attention. They don't even put the names of CEOs and headlines. We should be renaming CEOs, like the papal system and I'll give you an example. I have six great examples first. How about Warren, like Warren, the seventh war in meaning no. Wow, meaning. Cuddly billionaires, who control? Everything put family members on board and say pithy things, right? Wow, how about Jamie Jamie? Jamie the first Jamie, the 9th blowhard control freak, Bankers, who think they should be president and have something to say about everything. Wow, I referenced Sam Altman, being marked the seventh because Mark in our new CEO, people system means College Dropout, social media dictators, who have no oversight while charting Humanity's demise, right? We seven, we could name. Count are there actually six before? Sure, we could name directly we could name CEOs Elon arrogant and childish Wizard of Oz and leaders who pretend to be company. Founders, with the world domination delusions. Who would want to be Elon the third row? They can only be Elon On that can only be one, it's only and then the two You're Gonna Love. Matt Sundar, right? Okay. Sundar is an East Asian, Steward meant to distract from actual Tech dictators, right? Wow, that's not bad. And finally Tim's, Tim is a genteel Southern cruise ship captain who keeps a steady hand after replacing a legend but comes up with nothing on their own comes up. With nothing on that. Right? Just know they're just navigating through water. Matt, that's not actually. I think I've stumbled on something genius here and I and I I really think this should actually be an acted. So all right, if you're listening sea or New York, Stock Exchange, whoever reach out to me, let's get this going. If you're listening, anyone give us a name. Give us a name of a CEO should carry on that we can I love. Okay so my story out of the story of the week we could that is definitely the story one of my best ideas. I mean like we've been doing this a long time and you've had a lot of ideas, stupid ideas. Most of them are horrible that One is good. I mean, think about it, though, if I told you that the CEO of openai was Mark, the seventh, you would know that he was a call know exactly, dictator, who wants to ruin Humanity by having a social media, with no oversight or something. Like, you know, it's funny though. There are there on Mark, the first board are at least two other marks, right? I just that's the confusing nature of this world. Yeah. Well there are popes, who were on the Pope's board before he died, right? The police they were all Bishops so like that's how it worked. Oh, this is fabulous. I think the story of the week though is the proxy firm split. That's your story the week, fine. It exposes something really amazing about the process, right? Like first of all, shout out to Nell her testimony in this house committee for cartel proxy. Advisory cartel's was the She was the only voice of reason, right? Like she's literally the voice of reason. Amongst the chaff. Yeah, good. And we hold on. I'm glad you mentioned know, because I actually forgot to include on this on the ISS story. Bob, monks passed away this week bombs, that's founder of ISS. One of the no longer. He was no longer Affiliated. I think he sold it for 30 years, but really, one of the probably the grandfather of corporate governance. The dude who owned the company that I started at the corporate library were now all, so was. So I should have mentioned that. So that's it. Another reason to vote for the story. Yeah, go ahead. Amazing. Like a sea of Bob monks. I will say, incredible, being the grandfather of something though, that you also sort of, like, my grandfather might have been like an early Italian immigrant to not be racist. But that doesn't mean you can't progress from there. I would say. Yeah, you can stop doing what the grandpa did. You can do it your own, like, take it further. That's a word trying to do. Yeah, but here. Thing that makes this story of the week. It exposes how? In. Infinitely stupid analysis that you're paying for is crazy, right? Pay us pay you like They're up there. Are there appears I believe that as a group there appears that his role has been more positive than negative, with no numbers attached to the attached to that, it would make it hard to argue that his vote on his successor is worthless. I can argue that, it's not that hard, I promise you. If you replace your contracts with ISS with free flow, we will never. We will never not provide analysis. If that's true. We will give voting recommendations for all your equities but we will never drop that. We will always have some level of quantifiable analysis for everything, right? Like it's 2025, you don't have to settle for it appears and I guess that maybe someone is actually good at their job, you can use numbers now and don't forget called numbers. And, and don't forget, unlike the crazy anti-esg crowd. We know for a fact that ESG data is not political. So, on the left for the right. So we can help you use a date in any way that you want. Yeah, this isn't anyway. These are numbers. These numbers data. So I'm going with that. Even though it's totally self-serving. All right let's move on. Let's do good. Leah's I'll actually start with you guys. Because my good list is the story of the week. Oh, tell me why it's a good list, which is proxy firm split on Harley-Davidson board checkup, because of what glass Lewis said, not ISS. So, okay. I said vote for all of the Harley directors. And glasses said, don't do that, right? Like that. That's the, that's the big split that they're talking about and they said, quote, the, the board is quote, overseen starkly, sub-optimal shareholder returns. It's a nice quote and that removing them from the eight-person board wouldn't likely wouldn't create any problems. Now, I don't like like leave either create the alliteration. This English Majors over there, some writers there but anyway that can I just say the glass Lewis, I applied you glass Lewis I guess but this is more of just another poke at ISS at a minimum at a bare minimum because this is the this is Not like any actual real analysis here. This is not any kind of performance metric on a director at a bare minimum. If your directors have been there for that long and there's suboptimal shareholder returns and low sales and all that, that that is a great answer at a bare minimum to get rid of a director. So, at least they said, Vern's. Yeah. Because that's a measurable number sure, exactly, right. So when I look which analytics.com free flow, analytics.com. I'm looking I just pulled up. Harley Davidson. It's free. It's up there, right? I'm gonna go there too. Yeah, Harley Davidson and there's a little tab. This is board performance. I can see. Harley Davidson is the pink one. You don't talk down one audience. Yeah, it's is the industry that they're in right? Harley Davidson underperforms on TSR period, done. They underperform on controversies, meaning they're more controversial. I can look then sort the directors themselves by who underperformed most on TSR and I could see, oh, look, here are the ones that underperform. Here are all the ones that are under 500, 500 is average CSR. And guess what? The entire board is a below 500 meaning. You can measure what, glass Lewis, stated starkly, sub-optimal returns, I just like that. I think it's good. I think it's good that someone's saying a words that have meaning Oh, what else? You got? Oh, I got another one. Which is I really like this headline surprise. You like this one? Yeah, go ahead. I like it because it's hopeful basically like if people vote with their Dollars the same way they vote with their votes. Yeah, it seems it would seem to be good 80% of gen Z, Millennials plan to increase. Allocations to sustainable Investments. Morgan Stanley survey. Look, I I believe that to be true. It just do. I trust the survey? Well look, I trust are not trust. I think it's I think younger Generations. Clearly want something of course to make it so that the world is better and more livable. Yeah, this I mean, don't pay attention with the Trump Administration is doing specially. If you don't live in the US, that's a very small section of America, especially of young people. You're right. Don't pay attention to that. That's all I like about. That's what I like. What do you have? I have two, you're going to hate the first one and you're gonna love the second one. I only picked a first one because I'm just happy that some other actual founder of a company is saying something. He's actually like, Making a strong statement. The first headline. Bill Gates to give away 200 billion dollars by 2045, although I don't know how he has that much money in the first place. And, and if he were Mackenzie Scott, he had already be giving it away. I, I'm pretty sure he got it by quashing competition, but I like the second part of this headline, says musk says, Elon Musk is killing world's poorest children. Hey, that's, that's a great attention getter. I he's talking about musk cutting Aid to various International groups across the globe, all of them. Yeah. And I just bill. I love you for just for saying it just getting right to the heart that is pretty sick, right? And this is not just some dude who co-host business pants from free float. Me this is Bill Gates oh how dare, you know? But the second one I think I don't know how you don't love this headline and I don't even know why this wasn't a thing first and I love, I love that. It's the gay car company that came up with this and it's all the Car company, the only car that I ever have ever bought. But Here's a headline. This Subaru has an external airbag to protect cyclists. The design helps protect both pedestrians and cyclists in a crash. Wow. So basically what happens if, if it detects it you hit a pedestrian or cyclist that like, rolls up airbag on the outside inflates and it they're saying it could say the life. I just I just love this. I'm sorry I have to admit. I saw that headline. Yeah. And I giggled because you know how like airbags deploy in the car. Sure. I've never falling, you know, they pop like no just I've seen videos of it pops up and like there's a risk that it bounces you backwards and you can actually hurt yourself if you're too short or whatever. Like but it like cushions you and then you kind of Slam back I did in my brain and this is not anything. I saw was not designed, this is not I did in my brain. See hitting a cyclist in this balloon popping on the outside and push shoving the cyclist into the air. And onto a mattress. It was like a funny visual. Yeah. I I'm gonna go. If I'm if I'm voting here. I'm gonna go with that one though. That's called that one to move on. Yeah, let's move on. All right, let's see us. As always as simple this week though, thank God. It's been a while that there's easy, there's six of them. Yeah. But they're all very simple. I teach 10 but that's fine. We'll get six. This is the all Zuckerberg Edition. I love it. And it's all different forms of Zuck. So you just picked the duck that you think is the biggest asshole. Yeah, I gotta say I chose Zuck as tongue and cheekily being like the winner of the year in our prediction show because I just had to send that the evil of Zuck was gonna balloon. Yeah, it's bad. And what its back, what? What is being lost to anyone? Who doesn't listen to this show, is that Zuck is doing a lot of horrible stuff this year. Yeah, he's saying he's doing her sociopath, he's literally horrible casually indifferent to humans at all. But here, okay. So why we start with an easy one here certified watch guys, I don't even know. That means, here's the headline, Mark Zuckerberg is a certified watch guy. Here are some of his Stand Out timepieces from 120 dollar Casio to a 900,000 dollar Global Force. I don't like the sound. Is this like a is this a sarcastic way of saying like when nobody watches over me so I buy a lot of Watches or is that what he's trying to what's happening? This is this is like there was a lot of social media jokes about the watch. He wore when he was talking about sucking up to Donald Trump. Now, like shifting away, not watch because it was like a 900,000 dollar watch. It was like a super expensive watch, but now he's a watch guy, but I had him for this. I like that. They said he's a certified watch guy. Like, I like that, that's certified like that. Yeah, certifiable watch guy right here. How about tried this suck on outside? I didn't like that first one, by the way, no, one of the rampant knowing of the ramp, at homeless problem, where he lives, I don't like his wife idea of his watches. Well, it is a weird to juxtapose that with like the fact that Trump this past week, said, like girls should only Be happy with three dollars instead of 30 and you can do voice. Five pencils. What about boys with their watches? Well the boys can have watches. I guess they can have like watches. Yeah but like that there was reporting that 58 crypto wallets have made Millions on Trump's meme coin but 760,000 have lost money. So basically like we are setting up a system in which you can have certified watch guy Zuck but everybody else basically has no money, right? Like this tariffs this is the Trump way. And unfortunately, this is becoming the way of a lot of our modern CEOs, which is that there are in society. There are winners and there are losers. This is the system but sadly that this is The sister setting up, right? Well it's it's the definition of oligarchy. When you a smaller, people have all of the capital and all the power, right? So. So there's certified watch guys duck. How about this one friend maker Zuck? Yeah, I know what, I know you're referring to and I absolutely detest this. This one brought me to my knees. I hated this one so much Mark, Zuckerberg. His headline Mark wants you to have more friends, but AI friends. So he and so basically he eliminated our ability to make friends and now he wants to help you replace them. Yeah, fake friends, right kudos to Business Insider for writing it. The headline that way, they wrote Mark Zuckerberg destroyed friendship. That's a better. Now he wants to replace it with AI. I actually can't think of social media has destroyed Human Relationships better than anything other than maybe the plague like the Middle Ages, you know? Is really qualified to tell you that you need more friends and that he can supply them for you if you can't find them. A guy who this is a headline from this week, Mark Zuckerberg says this management style involves no one-on-ones. Always and a core Army of 30 running meta. I love a guy mentioned, literally doesn't want to talk to other people. You have telling you, you don't have enough friends. I will make them for you. Have this Empire that is enriched you this much. And you can't take the time to have one ones with the no one on one that I'm not you. Yeah. How about human Pickers up? I don't know that. We go ahead. We covered about three weeks ago that they that Zuckerberg. I just wanted to juxtapose this against the AI story that Zuck added two new people to the board Patrick Collison and Dina Powell McCormick is a is a trump Administration and Charlie admin. Yeah, Patrick Collison is a is a tech bro. He's a horse CEO, a dual-class dictator at stripe I just like that zuck's version of human friends is Fake human hand-picked human friends, his board. He hand-picks and includes. Can I just say can I just say? This is why this is why my name and Convention would be so important for investors because they could when going to the board going to the maybe the data free flow analytics.com, they could quickly. See that there are four different iterations of mark on his own and that's the real number and they wouldn't even have to spend a lot of time. Figuring out these people are because they would know what a mark is. So they would have already immediately have an understanding that, that who the types of directors that he picks for his own board. Yeah, it's Saint Mark. The first Saint, Mark, the second drawers forth. There's there's all so Saint Peter, the second, the third, and the fourth. There's a nepo baby in the sports, so like you need a nepo baby name. There's, there's a family dictator suck up on the board. Like this board is like hand-picked to kiss marks ass when you actually look at the board where they come from, and what they're about to protect, its all people who will not say no to him, there's no parent in the room anymore, know that Cheryl's goals arguably, not a parent. I was gonna say, yeah, that that's always been a bit. They only called her apparent because she was a woman essentially. So here is my ass. Holy is prediction of the year. Yeah. Zach will definitely be the first Fortune of S&P 500, Fortune 500 Mega cap company. To have an AI board member correct. Right. Like he's actually amazing with AI. That's an amazing prediction. I actually, I don't think we're that far off from a company kind of doing that, like, tongue in cheek, but then eventually it's real. And can I just say that they're gonna do this, in the face of something? I've been begging for for years, which is the American companies. Should absolutely have at least one employee employee representative on their boards. Not like the European system. I'm not even asking for half the board like they do in like, places. Like Germany. Just one, just one, but I think you're right. I bet we have an AI board member before companies or workers. Oh, my guess is, like, in the inside of 10 years, you'll have an AI board member, but the AI will be calibrated to different types of representation. Like the AI, you'll have an AI employee rep. That's the one reads all the employees emails represents and represent. The employees I don't think you're saying. Is that far-fetched? That's the problem. I don't not that far up. So human Pickers up. That's what you're actually I hate the number number four empathetic Zuck. Is that a real thing? So we well we already mentioned that he doesn't have one-on-one anymore but um there's a story this week gaslighting golden handcuffs and toxicity former meta employees, shared, what it was like to be laid off as low performers. Yeah, these are people who basically saw their performance like go from middle of the pack to the bottom for because they had layoffs quotas. Here's some, here's like one of the stories, right? And employee was laid off after five months of leave for a serious health crisis while in the middle of a disability related negotiation. Oh, so they were just laying off like, oh well, You've got a Healthcare System. You'll be way easier if you just didn't work here. Yeah. Um but I like this is what empathetix like really looks like because that's that there's clearly no empathy to the employees, but this is what it looks like meta exec apologizes to conservative activist, Robbie Starbucks. I forgot about this. Yeah, the empathy that I mean, they really feel bad for that guy. That one is shocking. I mean, they I think it was a named executive officer, he's a chief Global policy. He had a global policy. I don't remember his joke Kaplan, is it? No. Yeah, it's the new guy. He plays Matt to a misogynist racist. Troll. Internet troll. Yeah. Yeah, Internet troll. Yeah. It was absolutely no background in anything really other than like, making crappy music video. I just adds astounding to me. I I found that disheartening dishes in journalist, whatever. We're all seasoned journalist. Matt, if we didn't go to a proper journalism School, that's right. That's correct. That makes us all that I'm a citizen doctor. Actually in my house. How about number five lovers Zuck? No audience is judging today. Here's lover. Zach, here's the headline Mark. Zuckerberg's wife was weirded out by a strange gift to her. He's not, she's not just weirded out by him in general. Yeah, that's that, that seems like the wrong headline framing. It's just seems like, but apparently, for her 40th birthday, he had commissioned a giant statue of her. And put it in their yard. Oh, do you know how Giant? Like like a seven or eight feet tall, right? Like there's a picture of her next to it and it Towers over her. And he went on the Theo Von podcast this past week, this is write. The headline is here, and this is the part that lovers up really. Now, we're gonna figure out who lovers X really into because what he said was He made it for her, he didn't say this, but this is what the article says he made it for her, not out of love. But because the billionaire is apparently a huge fan of the sculptor behind the statue. The pop art is Daniel arsham but decided to go with his wife's likeness. He sat on the podcast because a statue of himself would have been called crazy. Oh that would have been crazy. So he went to the artist that was like I would have loved the statue for myself but I know that looks crazy. So just do my wife so that I give it to her explain, explain his wife explained, his wife to me. So she she is a unlike Zuck. She's a very intelligent educated woman so she she actually went to Harvard. She graduated full scholarship. She graduated she has her MD, right? She's a very smart woman from from Massachusetts. From New England. She's watching as her husband, she must have. She must have seen like reels, for instance, Instagram reel. She's so, she sits back and watches when her as her husband, erodes the brains of two billion users in our shoes. Not to look, it's another car. You just like, my house is really nice. I just gonna look over their products that develop algorithms to keep you using it longer that feeds, you absolute nonsense. That that is is literally rotting your brain. She's sits back in, she's upset about the Statue. That's the weird, her, the statue is weird, here's the crazy, part of the article, they actually do mention the fact that their Mark and Priscilla do not have a prenup. Now, I don't know how much of this is the previous report. I don't know what, what's real? But this is what they say, an article. That they don't have a prenup but they did have a contract where they mandate, they must they'll have at least 100 minutes of alone time per week. 100 yeah, 100. And then there was something about, like, what you like, the amount of days that they would be in the same place because Priscilla is the one who opened the school in the South Bay, you know, around San Francisco that they just closed because it's Dei friendly. Yeah, she opened the school to take care of poor kid, educate poor kids in those communities and that's about look. Now they put the in the contract, we have to spend time together because you're going to be over there, I'm going to be over here. We want to alone time together. What's it's all weird? It's all weird. Who contracts out? We must time together. I'm not like this one. Yeah. Any more lovers up. And here's the last one. Um, and this is a like a touch old but I included anyway, academic Zuck because of this headline, Mark Zuckerberg says, College isn't preparing students for the job market. Yeah, that's a hot take for him. This is, this is the perfect headline because this represents our age perfectly well, which is, we are all a bunch of internet trolls and we just say a thing because we read a thing, there is no evidence to support any of this antique College rhetoric, by all the Peter tilian Mark Zuckerberg in Issa and right. I mean like what Mark? I know you dropped out. So you, you famously, don't understand, like things like ethics, but give us the proof of that. I really would like to see the proof because it just a nonsense. I don't know. But this is the world we live in. Matt, you just say a thing. It's true. So well, here, your options are as holy so you get to say a thing and certified watch guys up friend, Mak. Yep. Empathetic Zucker Zucker academic. I'm going right to just what I'm gonna call the dystopian Zuck which is this horrible story that Mark is without satire with is essentially suggesting that the future in order to combat. The fact that we don't have a lot of friends as humans That we should just have fake. AI friends. Yeah, I'm gonna call it. I will make your friends. Yeah. All right. Good pick. It's horrifying again. Yeah, another compelling reason that you heard on this show to go right now and delete all of your accounts that Mark Zuckerberg owns, you don't need those things to continue your great lives because I'm assuming all of our listeners have amazing lives. So now would be a great opportunity to delete them. If you just You. Phone and threw it in the garbage. I'm not even saying that like that's next week you look up and you make friends because that choice. Yeah. Like otherwise you'd be bored. All right, let's move on Headline. Oh, we're almost done. Thinking headline, is Winners predictions. It's still all of them. Let me go first. Sure, you have like 93 headlines. You just got rid of one of the um the first one is just to Classic This is from a corporate governance, nerd perspective, all Olivia, and John Randall, Tyson named to Tyson Foods board of directors. That's the worst outline I've ever. First of all, I love named to because, you know, forget shareholders. Secondly, I want to point out to the listening audience that John Randall. Tyson is the guy who keeps getting arrested. Who got fired from Tyson, it's just gone are. Wow, your name to the board? Yeah, so there you go. That's what I assess things that they positive. Might outweigh the negatives here, they're gonna say like buy chicken nuggets. That's where they're gonna say because they might make you feel like full or something. I don't know what to keep going. Do we need to? That might be the headline of the year. I have a couple more that made me laugh. This one, you're going to hate this new Mental Health Service targets, burned out content creators. Oh no, I'm waiting for you. I'm worried about you. Now, how about you just Stopped creating content, we've had. This other one made me chuckle because it's just so stupid. Costco co-founder, still goes into the office weekly at age, 89, right. But then there's this, if you look a little deeper it says Costco co-founder, Jim Senegal stepped down from his role in 2012, but still goes to the office, some Tuesdays. How was weekly? Come on. What are we doing? It's not weekly. Some Tuesdays all on. Why do you go to the office? What do you do there? This is. He think the office is like the, I like the aisle Costco where you buy like cashews and and like, walnuts, oh, you buy a desk. He's like sitting at the desk, like the demo desk in the in the show. Come on, CNBC read your own reporting. It says some Tuesdays. That's not weekly. That's not the same thing. Come on. All right, I have two for you and they're both Elon Musk. Oh you're not gonna like either of them but here's one. Elon, musk's urgent concern that the Earth is going to get swallowed by the sun. Well, okay, wait a minute, wait a minute. First of all the the word there, that's funny, to me is urgent. I actually know for a fact that okay, this is the scientific fact that I think I still have from from being back in the day when I was educated the sun is the sun is expanding know very slow. Yeah yeah I think in Billions of years. Yeah right that we it is true. Elon. We are Earth. Cannot last beyond the expansion of the solo. Let me this is musk reasoning through. Why we have to go to Mars right now, right? Because the Mars in the same solar system as Earth, right. Our neighbor planet is somehow was going to withstand the expansion of the sun. It's it's seven minutes away. Yeah. Somehow it's not gonna it's not gonna affect Mars. Let's let musk described it in his own words. Yeah. Well Mars is life insurance for Life collectively. Musk Said So eventually all life on Earth will be destroyed by the sun. The sun is gradually expanding. And so gradually. At some point need to be a multi-planet civilization because Earth will be operated. Oh my God. People everyone should just divest from everything musk immediately. There's so much about this that is laughable and this guy actually did graduate from college, right? So we know just So you know, listener of this show you will be informed. The sons expansion is slated to incinerate the earth and the in 6 billion years actually thought it was longer than that. I thought it was not. Maybe we should be very we should be here, right? Like, we, we got to get on this now, like, forget climate change. We shouldn't be protecting ourselves from climate change. We've got to get to Mars because six billion years from. Yeah, can you imagine these are the same people who argue that 2050 is too far away to do something. So when you 50, so if the Sun is going to get to Earth and six billion years, when he's gonna get to Mars, like 6 billion years and three days, like, what? The yeah, very, very small. That's the part I love about this. The most is that let's let's just like take for granted that like, let's just accept the fact that. Okay, maybe we need to leave this earth eventually, right? Because the sun is expanding. That's a that's a fact but he thinks going Bars is the insurance policy? That's like me saying, that, that we need to. That's like me saying that there is a giant volcano that erupted in Canada and it's, it's gonna completely cover main, right? And we're all gonna die. So, let's move to New Hampshire to save ourselves, because it won't because, you know, it'll take an extra five days for the lava to get to New Hampshire, right? I mean, so we'll be safe there. I look, you can laugh while you want, but he's correct. That six billion. Terrible divest divest musk and then the other one was you already read it. But Elon Musk is responsible for killing the world's poorest children like that one. Yeah. Luckily we don't vote on those so we can move on. I don't like yeah. We just move on. Who won the week for you? This one's obvious to me first. It's it's the pope number 267. Oh, the world's I'm calling in the world's greatest vampire, CEO. And I gotta say unlike the corporate system where we basically don't let women B. CEOs that the papal system really? Doesn't let women BC. Yeah, sure. That's a double double. Yeah, definitely. Yeah, but the other winner here, I'm going to call it. I'm gonna call them Villanova students Because unless you're openly gay or have a vagina because yeah. Suddenly now all Villanova students think that they can eventually be the pope which is kind of cool, right. Kind of except that do you think Charlie Munger would have Villanova on his list of places that his daughter should not marry someone from villain? I know he said well she can marry the mountain now. She can marry the future, Pope maybe but Villanova all so like you don't want your daughter to marry someone from Villanova. Do you? I don't is that's in that gray zone. Is that like, I know I holler enough for you. I don't I know no one's in a care about this reference maybe even not myself but I remember as a kid I think it was Villanova that in the in the March Madness they beat I think George Town. They had a miracle win in their weird. Little coach was jumping up and down miracles happen at Villanova Matt, that's all I'm trying to tell you unless of course you're gay or have a vagina miracles happen. At Villanova that's all I'm gonna still. Look my winner. I saw this headline EPA plans to shut down the energy star price. I hate. This was why don't you hate that? Like why? Most popular thing the EPA does? You don't want this country? You don't want Americans to potentially save any money anymore. What are we doing? Why? Well, the winner, if they shut it down, is your shity washer dryer, which no longer looks horrible. When you look at all the new ones and you realize like, oh mind literally eats like a nuclear Farm worth of energy. So like dry my dirty socks and now I don't have to know that and therefore my washer dryer, just no longer feels bad. So that was my winner. Iconic winner. You got any predictions? Yeah. I'll go first cuz mine's quick and this reference back to a joke I made earlier. So I'm really just reinforcing the joke. The predictions stupid, open AI CEO, who we now know, is named Mark the seventh, right? Yeah. We do know that creates a deep fake. Video showing the country of China. The whole country eating his new baby at one of his homes and Hawaii thereby causing the Trump Administration to completely dismantle the SEC immediately. Well, I don't even understand that. I don't even know that what I'm trying to say is, Mark, the seventh is gonna prove that China is evil, and that's why no one should pay attention to anything. Mark. The seventh is doing that was confusing. All right, sit tight, because I've got two again, I told you, it was just a reinforced, my new CEO papal, naming system. I've got two predictions. Um, the first is built off of this headline Euro. Next rebrands ESG and drive to help European Defence firm like that like War. So you're next is is a I think they're Dutch base listing. Currently they do indexes and stuff. They wanted to name it energy security and Geo strategy. You know, somebody wrote I post on LinkedIn, something about this and somebody wrote like a basically a clever Rebrand does not just recycle the exact same thing that you don't call ESG. Now means something different. Now means she and everybody's like still, but I thought they they flopped here. Are and L said the London Stock Exchange is going to pick up on it and they're going to Rebrand their ESG scores to be emitting smoking and gambling ESG scores. Right this way. Invest investors. Can finally do ESG investing and feel good about it because yes, I think everybody should Rebrand the acronym, to whatever it is. They want to invest in got it and then they can call everything ESG. Anything else I could pick up on it first, but I imagine everyone's gonna fall suit. Well, that was a mission. Number one that I can't believe you went for the ESG acronym humor. Yeah. Keep going. It's little utilized. Yeah. My second one is a bit longer. I saw muskets his Texas. Wish SpaceX launch site is approved as the new city of Starbase. So, I predict you ready for this. I predict in 12 months inside of a year musk is offering SpaceX employees that live in Starbase, because it's a company town. It's just gonna be SpaceX employees basically that live there. He's offering them crypto tokens know, instead of pay that a redeemable at stores in Starbase. Yeah, right. So you've got you're not crazy about that. I think this is what the Trump's son's really hot. They how they want America to well in order to avoid this being called scripts which were outlawed in 1938 in the United States. Um but they still got used anyway for a while that course musk will actually list them on a crypto exchange. So you get the meme stock ory. The meme crypto Thing by listing your Starbase tokens and crypto on an exchange. And eventually but they're worthless. Nobody wants them because you can't use them for anything except that they're basically representation of musk's town. And I I'm guessing that the employees recognize that they actually can't use this anywhere, they are totally in debt when they leave. And they start a new Renaissance of resistance music. Oh, like we shall overcome. You remember like, you know? Yeah, um I I that's quite a pretty please going to make a number one ranked song that's resistant to Elon musk's scripts. That's quite a prediction. Can I just say that the new this new? I'm gonna call it Dei movie basically, because a black person made it because I know it's gonna tweak Nelson. Pelt called Sinners a fabulous movie. They referenced these scripts they. So it's a topical real thing. It's called Sinners, that's our show. That's his floats. We got The show coming out today.
